1. Agreement to Terms

Welcome to EthosSyntax / Abhyas. These Terms of Service ("Terms") govern your access to and use of our website, applications, practice tools, AI-assisted feedback features, subscriptions, content, and related services (collectively, the "Platform" or "Services").

By creating an account, purchasing a membership, accessing the Platform, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Services Provided

EthosSyntax / Abhyas is an independent online learning and practice platform. Depending on the product or plan, our Services may include:

• Practice questions and exercises
• Full or partial mock exams
• Writing and speaking practice
• AI-assisted feedback and estimated scoring
• Reading, listening, vocabulary, grammar, and strategy resources
• Progress tracking and study dashboards
• Educational articles, templates, explanations, and learning tools
• Other exam-preparation or self-improvement resources
• Unless clearly stated otherwise, we provide self-guided digital learning tools. We do not provide official exam administration, official exam scoring, immigration advice, legal advice, or guaranteed test results.

3. Independent Platform and Affiliation Disclaimer

EthosSyntax / Abhyas is an independent learning platform. It is not affiliated with, endorsed by, sponsored by, or approved by CELPIP, Paragon Testing Enterprises, Pearson PTE, IELTS, TEF, TCF, or any other official testing body unless we expressly state otherwise.

All trademarks, exam names, and brand names belong to their respective owners. Any reference to an exam or third-party brand is used only to describe the type of practice or learning support offered.

Your performance on our Platform does not guarantee any specific result on an official exam, immigration process, academic application, job application, or professional assessment.

4. Eligibility

You must be at least 18 years old to use the Services unless we state a different requirement for a specific product. If you use the Services on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

5. User Accounts

To access key features, you may need to create an account and provide accurate account information.

You agree to:

• Keep your account information accurate and current
• Keep your login credentials confidential
• Not share, sell, rent, transfer, or give access to your account unless your plan expressly allows it
• Notify us immediately if you suspect unauthorized access
• Accept responsibility for all activity under your account
• We may suspend or terminate accounts that appear to be shared, resold, abused, automated, compromised, or used in violation of these Terms.

6. Memberships, Subscriptions, and Payments

Some Services may require a paid membership, subscription, credit package, or one-time purchase.

Before purchase, we aim to show the applicable price, billing period, access duration, plan features, and any important limitations. By purchasing a paid product, you authorize our payment provider to charge the applicable amount, including taxes where required.

Unless stated otherwise:

• Subscription fees are billed in advance
• Access is available only during the active paid period
• Plans may renew automatically until cancelled
• Free previews or limited free access may be offered before purchase
• Paid access is for the account holder only and may not be shared or resold
• We may change pricing, plan features, free limits, usage limits, or subscription terms in the future. If changes materially affect an active subscription, we will provide notice where required by law or platform rules.

7. Cancellation

You may cancel your subscription through your account settings, payment provider, app store, or by contacting us at [email protected], depending on how you purchased.

Cancellation stops future renewal charges. It does not automatically refund fees already paid unless you qualify under our Refund Policy or applicable law.

After cancellation, you may continue to access paid features until the end of the current billing period unless otherwise stated or your account is suspended or terminated for violating these Terms.

8. Refunds

Refunds are governed by our Refund Policy. By purchasing a paid product or membership, you agree to the Refund Policy.

9. User Submissions and Learning Data

You may submit written answers, audio recordings, transcripts, practice responses, uploaded files, prompts, notes, or other materials through the Platform ("User Content").

You retain ownership of your User Content. You grant us a limited, worldwide, non-exclusive license to host, store, process, analyze, display, transmit, and use your User Content only as reasonably necessary to:

• Provide the Services
• Generate AI-assisted feedback
• Track progress and performance
• Maintain account history
• Improve safety, security, reliability, and functionality
• Provide support and troubleshoot issues
• Comply with legal obligations
• We do not display your private submissions publicly or share them with other users unless you choose to share them or give us permission.
• You are responsible for ensuring that your User Content does not violate laws, privacy rights, intellectual property rights, or these Terms.

10. AI-Generated Feedback and Output

The Platform may generate feedback, estimated scores, explanations, study suggestions, corrections, templates, or practice content using AI or automated systems.

You understand and agree that:

• AI output may contain mistakes or incomplete analysis
• Estimated scores are not official scores
• Feedback is for learning and practice only
• You are responsible for reviewing and applying the feedback appropriately
• We do not guarantee that AI feedback will match the opinion of any official examiner, teacher, institution, or testing body
• You should not rely on the Platform as a substitute for professional legal, immigration, academic, medical, financial, or official exam advice.

11. Acceptable Use

You agree not to:

• Use the Services for unlawful, harmful, abusive, deceptive, or fraudulent purposes
• Share, sell, rent, transfer, or resell your account
• Copy, scrape, reproduce, republish, distribute, or commercially exploit platform content without written permission
• Use bots, scripts, crawlers, or automated tools to access or overload the Platform
• Attempt to bypass paywalls, usage limits, security controls, or access restrictions
• Upload malware, harmful code, or content designed to disrupt the Platform
• Attempt to access accounts, data, systems, or services without authorization
• Misrepresent AI-generated feedback as official test results or certification
• Harass, impersonate, threaten, or harm others
• Submit content that infringes intellectual property, privacy, or other rights
• Use the Platform in a way that damages our reputation, systems, users, or service availability
• We may suspend or terminate access without refund if we believe you violated these Terms or abused the Platform.

12. Intellectual Property

The Platform and its content are owned by EthosSyntax / Abhyas, its operator, or its licensors. This includes, without limitation:

• Website and app design
• Logos, branding, names, and visual assets
• Practice questions and mock test content
• Lessons, explanations, rubrics, templates, and learning materials
• Software, source code, workflows, databases, and platform structure
• AI feedback logic, scoring approaches, and educational frameworks
• You may use the Platform only for your personal learning purposes unless we give written permission for another use.
• You may not copy, reproduce, distribute, sell, publish, upload, share, or create competing products from our content without express written permission.

13. Support and Communication

For support, payment issues, refund requests, account questions, or general concerns, contact us at [email protected].

We aim to respond fairly and within a reasonable time, but we do not guarantee immediate support or resolution for every issue.

14. Service Availability and Changes

We try to keep the Platform available and reliable, but we do not guarantee uninterrupted, error-free, or secure access.

We may modify, suspend, restrict, replace, or discontinue any part of the Services at any time, including features, content, free access, plan limits, AI tools, or pricing.

15. Third-Party Services

The Platform may rely on third-party providers for hosting, payments, analytics, authentication, email, AI processing, speech transcription, error monitoring, or other functions.

We are not responsible for third-party services outside our control. Your use of third-party services may also be subject to their terms and privacy policies.

16. Disclaimers

The Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, we make no warranties or guarantees about:

• Accuracy, completeness, or reliability of content
• Availability or uninterrupted access
• Suitability for your specific learning goals
• Official exam performance or score improvement
• Immigration, employment, academic, or professional outcomes
• Compatibility with every device, browser, microphone, network, or operating system

17. Limitation of Liability

To the maximum extent permitted by law, EthosSyntax / Abhyas and its owners, directors, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of data, profits, opportunities, scores, exam results, business, goodwill, or reputation.

To the maximum extent permitted by law, our total liability for any claim related to the Services will not exceed the amount you paid to us for the Services in the three months before the claim, or CAD $100, whichever is greater.

Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

18. Indemnity

You agree to indemnify and hold harmless EthosSyntax / Abhyas from claims, damages, liabilities, losses, costs, and expenses arising from your use of the Services, your User Content, your violation of these Terms, or your violation of any law or third-party right.

19. Termination

We may suspend or terminate your account or access to the Services if:

• You violate these Terms
• You fail to pay applicable fees
• Your account is shared, resold, automated, abused, or used suspiciously
• Your activity creates risk for the Platform, users, or third parties
• We are required to do so by law
• Termination or suspension for violation of these Terms may result in loss of access without refund.
• You may stop using the Services at any time. Sections relating to payments, refunds, intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution will continue to apply after termination.

20. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, unless applicable consumer protection laws require otherwise.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may notify you by email, through the Platform, or by updating the effective date at the top of this page.

Your continued use of the Services after changes are posted means you accept the updated Terms.
